Unless otherwise specified in a written agreement, upon full payment for services, Wide Wise grants the client a perpetual, non-exclusive, non-transferable license to use the deliverables produced for the clients internal business purposes. Wide Wise retains ownership of all pre-existing intellectual property, methodologies, tools, and frameworks used in the delivery of services. The client retains ownership of all client-provided materials, data, and confidential information.

6. Confidentiality

In the course of providing services, Wide Wise may receive confidential or proprietary information from clients, including business plans, technical specifications, system architectures, trade secrets, and operational data. We agree to:

  • Hold all client confidential information in strict confidence.
  • Use such information solely for the purpose of delivering the agreed-upon services.
  • Not disclose confidential information to third parties without the clients prior written consent, except as required by law.
  • Implement reasonable security measures to protect confidential information from unauthorized access or disclosure.

These confidentiality obligations survive the termination of any service agreement and continue for a period of three years thereafter, or indefinitely for information constituting a trade secret.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Wide Wise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from or related to the use of our website or services, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability for any claims arising from or related to a service engagement shall not exceed the total fees paid by the client to Wide Wise under the applicable statement of work during the twelve months preceding the event giving rise to the claim.
  • Our website is provided on an as-is and as-available basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

8. Third-Party Services

Our services may involve the recommendation, integration, or configuration of third-party hardware, software, or cloud services. Wide Wise is not responsible for the performance, security, or availability of third-party products or services. Any warranties, support, or service-level commitments for third-party products are provided solely by the respective third-party vendors under their terms. 13. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these terms or any service agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, civil unrest, government actions, pandemics, cyberattacks, or failure of third-party utilities or telecommunications networks. The affected party shall notify the other party promptly and use reasonable efforts to resume performance as soon as practicable.

14. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
